By accessing or using ClearIQ ("the Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service. These terms apply to all users, including business owners, employees, and authorized representatives.

2. Description of Service

ClearIQ provides business management tools including:

  • Invoice and quotation generation
  • Customer relationship management (CRM)
  • WhatsApp Business messaging integration
  • Payment tracking and management
  • Business analytics and reporting
  • Staff management tools

3. Account Registration

To use ClearIQ, you must:

  • Register with accurate, complete, and current information
  • Maintain the security of your account credentials
  • Promptly update any changes to your business information
  • Be at least 18 years of age
  • Have authority to bind your business to these terms

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use.

4. WhatsApp Business Terms

When using WhatsApp integration, you agree to:

  • Comply with Meta's WhatsApp Business Terms of Service
  • Follow Meta's Business Messaging Policy
  • Obtain proper consent before messaging customers
  • Honor opt-out requests promptly
  • Not send spam, abusive, or illegal content
  • Maintain message quality scores above acceptable thresholds

Failure to comply with WhatsApp policies may result in suspension of messaging services.

5. Payment Terms

For paid subscriptions:

  • Fees are charged in advance on a monthly or annual basis
  • All fees are exclusive of applicable taxes
  • Subscription auto-renews unless cancelled
  • Refunds are provided per our refund policy
  • We may modify pricing with 30 days notice

6. Data Ownership

You retain ownership of all data you input into ClearIQ. We claim no ownership rights over your customer data, business documents, or communications. You grant us a limited license to process this data solely for the purpose of providing and improving our services.

7. Prohibited Activities

You may not use ClearIQ to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Distribute malware or harmful code
  • Send unsolicited bulk messages (spam)
  • Attempt to bypass security measures
  • Reverse engineer or copy our software
  • Resell or sublicense the Service without authorization

8. Service Limitations

ClearIQ strives for 99.9% uptime but does not guarantee uninterrupted service. We are not liable for temporary unavailability due to maintenance, technical issues, or factors beyond our control. WhatsApp messaging availability depends on Meta's infrastructure.

9. Termination

You may cancel your account at any time through the Settings page. We may suspend or terminate service for:

  • Violation of these Terms
  • Non-payment of fees
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies

10. Limitation of Liability

ClearIQ is provided "as is" without warranties of any kind. We shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via email or through the Service. Continued use after changes constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Bangalore, Karnataka.
